Terms of Service

1. Agreement to Terms

By accessing or using any services provided by R Software & Consulting LLC ("Company," "we," "us," or "our"), including our websites, applications, and services under our brands (Phillip Roberts Development, Simplified Surveys, MeshedMonitor, Meshed.Social, BeeCraft, Bee Bros Studios, and Strategic Edge Media), you agree to be bound by these Terms of Service ("Terms").

If you disagree with any part of these terms, you do not have permission to access our services.

2. Services Description

R Software & Consulting LLC provides:

• Custom software development services
• Web and mobile application development
• Cloud infrastructure solutions
• AI integration and machine learning services
• Technical consulting and digital transformation
• Digital marketing services
• Survey and data collection platforms
• Social media platforms
• Gaming servers and applications
• Monitoring and analytics solutions

3. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Ensuring your account information remains accurate

We reserve the right to terminate accounts that violate these Terms or engage in fraudulent or illegal activities.

4. Acceptable Use Policy

You agree not to use our services to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Transmit malware, viruses, or malicious code
• Engage in unauthorized data collection or mining
• Harass, abuse, or harm others
• Attempt to gain unauthorized access to systems
• Interfere with or disrupt our services

5. Intellectual Property Rights

Our Intellectual Property

All content, features, and functionality of our services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the exclusive property of R Software & Consulting LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws.

Client Intellectual Property

For custom development projects:

• Upon full payment, clients receive 100% ownership of custom code developed specifically for their project
• We retain rights to our pre-existing intellectual property and general methodologies
• We may use general knowledge gained from projects for future work
• Client-specific confidential information remains protected

License Grant

We grant you a limited, non-exclusive, non-transferable license to access and use our services for their intended purpose, subject to these Terms.

6. Payment Terms

For paid services:

• Payment is due according to the agreed schedule in your service agreement
• All fees are non-refundable unless otherwise stated
• We accept major credit cards, ACH transfers, and wire transfers
• Late payments may incur additional fees
• We reserve the right to suspend services for non-payment
• Prices are subject to change with 30 days notice
• You are responsible for all applicable taxes

7. Service Level Agreement

While we strive for maximum uptime and reliability:

• We do not guarantee uninterrupted or error-free services
• Scheduled maintenance will be communicated in advance
• Emergency maintenance may occur without notice
• Specific SLA terms may be defined in individual service agreements
• We are not liable for third-party service interruptions

8. Confidentiality

Both parties agree to maintain the confidentiality of:

• Proprietary information
• Trade secrets
• Business strategies
• Technical specifications
• Customer data
• Pricing information

This obligation survives the termination of services for a period of five (5) years.

9. Warranties and Disclaimers

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR COMPLETENESS

We do not warrant that our services will meet all of your requirements or that defects will be corrected.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, R SOFTWARE & CONSULTING LLC SHALL NOT BE LIABLE FOR:

• INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
• LOSS OF PROFITS, REVENUE, OR DATA
• BUSINESS INTERRUPTION
• DAMAGES EXCEEDING THE FEES PAID IN THE TWELVE MONTHS PRECEDING THE CLAIM

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless R Software & Consulting LLC, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any rights of another party
• Your content or data
• Your negligence or willful misconduct

12. Termination

Either party may terminate services:

• For convenience with 30 days written notice
• Immediately for material breach that remains uncured after 10 days notice
• Immediately for insolvency, bankruptcy, or cessation of business
• Immediately for violation of law or these Terms

Upon termination, you must cease all use of our services and pay any outstanding fees.

13. Dispute Resolution

Any disputes arising from these Terms or our services shall be:

• First attempted to be resolved through good faith negotiation
• If negotiation fails, submitted to binding arbitration in Jacksonville, Florida
• Conducted under the rules of the American Arbitration Association
• Limited to individual claims (no class actions)

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any legal action must be brought in the courts located in Duval County, Florida.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or prominent notice on our website. Your continued use of our services after changes constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

17. Entire Agreement

These Terms, together with any applicable service agreements, constitute the entire agreement between you and R Software & Consulting LLC regarding our services and supersede all prior agreements and understandings.
